JOINT STUDY GROUP REPORT
Joint Study Group Report
Review by the SIC Long Term Planning Committee
A group composed of Coby Van de Graaf, Chuck Fox and Dave Mitchell were asked to review the report and provide findings to the SIC Board. They only focused on the option of possible consolidation of the SIC and the SIPOA. They felt the other options were either not feasible or, in the case of attaining economies through inter-group cooperation, have largely been attained.
Process Comments
The document attached to the executive summary, directed the study group to follow 4 "hard, inviolate assumptions" which were:
1. "Grandfathering" is to be protected As long as the Island One joining provisions are in effect, grandfathered property owners cannot be asked to pay joining fees or be assessed for any Club activities or operations.
2. Under no circumstances will POA funds be used to retire club member equity
3. Both organizations must be financially healthy
4. The POA will be the surviving entity
The reviewers believe these assumptions dramatically impacted the study group's flexibility and unduly influenced the study's outcome.
Observations
Both boards should realize that consolidation is not possible in view of the study group's findings as directed by the assumptions listed above .
The tax issue is a large negative to consolidation, especially the $5.7 million tax loss carryover that the Club would lose. Also the general business tax carryover of $230,000 would be lost to the Club. The SIPOA would likely lose its qualification as a homeowner association for tax purposes as well..
Mandatory membership to the Club would be eliminated hence no new member fees ongoing.
Current, grandfathered Non Club members would have access to all Club amenities without paying to get in, however large assessments would have to be made to every other property owner to pay for the upkeep of those same amenities.
Current refundable equity members of the Club would not get back their equity in any form.
SIPOA would need to dramatically increase debt in order to fund acquisition of Club assets. SIPOA lenders would have to approve new borrowings, which is unlikely. An organization (SIPOA) with $4 million of revenue and $15 million in assets would be trying to absorb and organization (SIC) with $13 million in revenues and over $35 million in assets.
Summary
It is clear that both boards agree consolidation at this time is not worth further study. Both agree SIPOA should advise all property owners that no further study will be done at this time and if consolidation should be reviewed again, it should be after conditions change to negate some of the major disadvantages discussed above.
In the meantime, the SIC and SIPOA should continue to work together for the benefit of the Island. Both should continue to explore areas of additional cost savings but most of the obvious cooperative advantages have already been realized.
